By accessing and using the Spacegrid platform, you accept and agree to be bound by the terms and provision of this agreement. These Terms and Conditions ("Terms") govern your use of our real estate data platform operated by Spacegrid, a product of Manpho Group ("us", "we", or "our"). Your access to and use of the Platform is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Platform. By accessing or using our Platform you agree to be bound by these Terms. If you disagree with any part of these terms then you may not access the Platform.

For the purposes of these Terms and Conditions: • "Company" (referred to either as "the Company", "we", "us" or "our") refers to Spacegrid by Manpho Group. • "You" refers to the individual accessing or using the Platform. • "Platform" refers to the Spacegrid real estate data analytics platform. • "User" means any person who accesses or uses the Platform. • "Data" means real estate information, analytics, and insights provided through the Platform. • "Services" means data analytics, market insights, and reporting services. • "Subscription" means paid access to premium Platform features and data.

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Platform. You are responsible for safeguarding the password that you use to access the Platform and for all activities that occur under your password, whether your password is with our Platform or a third-party service. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account. You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you without appropriate authorization.

Our Platform allows you to: • Access comprehensive real estate data and analytics • Generate custom reports and market insights • Utilize interactive maps and data visualizations • Access API endpoints for data integration • Receive real-time market updates and trends • Use advanced filtering and search capabilities You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to use the Platform: • In any way that violates any applicable federal, state, local, or international law or regulation • To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Platform

All data provided through the Platform is licensed to you for your internal business use only. You may not redistribute, resell, or share Platform data with third parties without explicit written permission. Data accuracy is maintained to the highest standards, but we do not guarantee 100% accuracy of all data points. Users should verify critical information through additional sources when making significant business decisions. You may export data for your internal use, but bulk downloading or systematic extraction of data is prohibited without a specific enterprise license. API usage is subject to rate limits and fair use policies. Excessive usage may result in temporary or permanent suspension of API access.

Subscription fees are billed in advance on a monthly or annual basis depending on your chosen plan. All fees are non-refundable except as expressly stated in our refund policy. We reserve the right to modify subscription pricing with 30 days advance notice to existing subscribers. Price changes will not affect your current billing cycle. Payment must be made through the payment methods available on the Platform. You agree to provide current, complete and accurate purchase and account information for all purchases made through the Platform. Failure to pay subscription fees may result in suspension or termination of your account and loss of access to Platform features and data.

While we strive to provide accurate and up-to-date real estate data, we cannot guarantee the completeness or accuracy of all information provided through the Platform. Data is aggregated from multiple sources and processed using advanced algorithms. Users should exercise professional judgment and verify critical information through additional sources. We are not liable for business decisions made based solely on Platform data. Users are responsible for conducting their own due diligence and analysis. Market conditions and real estate data can change rapidly. Historical data and trends do not guarantee future performance or market conditions.

The Platform and its original content, features and functionality are and will remain the exclusive property of Spacegrid and Manpho Group and its licensors. The Platform is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products or services obtained from the Platform. All data visualizations, reports, and analytics tools are proprietary to Spacegrid and protected by intellectual property laws.

In no event shall Spacegrid, Manpho Group, nor their directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Platform. We do not warrant that the Platform will be uninterrupted, timely, secure, or error-free. We do not warrant that the results that may be obtained from the use of the Platform will be accurate or reliable. Our total liability to you for all claims arising from or relating to the Platform shall not exceed the amount you paid to us in the twelve months preceding the claim. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential or incidental damages, so the above limitations may not apply to you.

We may terminate or suspend your account and bar access to the Platform immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. If you wish to terminate your account, you may simply discontinue using the Platform or contact our customer support. Upon termination, your right to use the Platform will cease immediately. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

These Terms shall be interpreted and governed by the laws of the jurisdiction where Manpho Group is incorporated, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity or termination, shall be subject to the exclusive jurisdiction of the courts in our primary business jurisdiction. Before initiating any legal proceedings, you agree to first attempt to resolve any dispute through good faith negotiations. If such negotiations fail, disputes shall be resolved through binding arbitration. The arbitration shall be conducted in English and shall take place in our primary business jurisdiction. The decision of the arbitrator shall be final and binding on both parties.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Platform after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Platform. It is your responsibility to check these Terms periodically for changes. We will post the updated Terms on this page and update the "Last Updated" date at the top of these Terms.
